We may improve, update, or change our Services over time, subject to your applicable agreement and legal rights.

The Site and Services are not intended for use where doing so would violate applicable law. If you access the Services from outside the United States, you are responsible for complying with local laws that apply to your use, subject to any mandatory protections that apply to you.

2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

Unless otherwise stated, ScaleHunter owns or licenses the intellectual property used on the Site, including our original text, branding, graphics, designs, website content, logos, and other materials.

These materials are protected by copyright, trademark, and other intellectual property laws.

You may access and use our Site and its publicly available content for lawful, personal, or internal business purposes. You may not reproduce, distribute, modify, sell, publicly display, or commercially exploit our materials without our prior written permission, except where permitted by law.

Your Materials and Deliverables

You retain ownership of the materials you provide to us, including your business name, logo, photographs, customer information, and other content, subject to the rights needed to provide your Services.

Ownership and licensing of websites, designs, written content, templates, software, and other deliverables may depend on your service agreement. Third-party software, fonts, stock images, integrations, and licensed materials remain subject to their applicable licenses.

Unless otherwise agreed in writing, purchasing a Service does not automatically transfer ownership of every underlying tool, template, platform, or third-party component used to deliver it.

Feedback and Suggestions

If you voluntarily provide suggestions, ideas, or feedback about our Services, you grant us permission to use that feedback to improve our business and Services without compensation, provided we do not disclose your confidential information or violate applicable law.

This provision does not transfer ownership of your confidential materials or pre-existing intellectual property.

3. USER REPRESENTATIONS

By using the Site or Services, you represent that:

The information you provide is accurate and complete to the best of your knowledge.

You have the legal capacity to enter into these Terms.

You are at least 18 years old.

You have authority to act for any business you represent.

Your use of the Services will comply with applicable laws and third-party platform rules.

You have the rights and permissions needed to provide any materials, customer lists, contact information, or account access you give us.

You will not use the Services for fraud, unlawful marketing, harassment, or other prohibited conduct.

If you provide information that is materially false, misleading, or incomplete, we may take reasonable steps to protect our business, including restricting access to affected Services.

4. USER REGISTRATION AND ACCOUNT SECURITY

Certain Services may require an account or customer registration.

You agree to provide accurate account information and keep your login credentials confidential. You are responsible for activity conducted through your account, except to the extent caused by our own conduct or otherwise provided by law.

You must notify us promptly if you suspect unauthorized access to your account.

We may require reasonable identity or authority verification before making sensitive account changes, transferring access, or processing certain requests.

5. PURCHASES AND PAYMENT

Pricing and Fees

Our Services may include monthly subscription fees, one-time setup fees, project fees, add-on charges, or usage-based fees.

The applicable price, billing schedule, included Services, and payment terms will be disclosed in the relevant offer, checkout, invoice, proposal, or written agreement.

Unless otherwise stated, prices are quoted in U.S. dollars.

Payment Authorization

By purchasing a Service, you authorize ScaleHunter or its designated payment processor to charge the payment method you provide for the amounts disclosed and agreed to at checkout or in your agreement.

We currently use Stripe for certain payment transactions. We may use other payment processors in the future.

Your payment information may be processed by the applicable payment provider under its own terms and privacy policy.

Accurate Billing Information

You agree to provide current and accurate billing information and update it when necessary.

If a payment fails, we may contact you to request updated payment details. We may restrict or suspend paid Services for unpaid balances after providing any notice required by your agreement or applicable law.

Taxes and Pricing Errors

Applicable taxes may be added where required by law. You are responsible for taxes imposed on your purchase, excluding taxes based on our net income.

We may correct genuine pricing or billing errors, subject to applicable law. If a correction materially affects an order you have already placed, we will provide an appropriate explanation and any refund or remedy required by law.

6. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Billing and Renewal

Certain Services are offered through recurring subscriptions.

Unless otherwise stated, a subscription automatically renews at the disclosed billing interval until canceled. By subscribing, you authorize recurring charges at the disclosed price and frequency, subject to applicable law.

We will disclose material subscription terms, including the price, billing frequency, and cancellation method, before or at the time of purchase as required by law.

Cancellation

You may request cancellation through the cancellation method provided in your account, checkout information, subscription details, or written agreement. You may also contact [email protected].

We may take reasonable steps to verify that a cancellation request comes from the account holder or an authorized representative.

Unless your agreement or applicable law provides otherwise, cancellation takes effect at the end of the current paid billing period, and the subscription will not renew after that period.

Canceling a subscription does not automatically cancel separate services, project agreements, outstanding invoices, or third-party subscriptions you maintain independently.

Refunds

Unless stated in your applicable agreement or required by law, subscription payments for a billing period already started are not prorated.

One-time setup fees and project fees are governed by the applicable agreement, the work performed, and applicable law. Nothing in these Terms removes a refund right that cannot legally be waived.

Price Changes

We may change subscription prices from time to time. We will provide notice and obtain consent where required by law or your agreement. A price change will not retroactively change a charge already authorized.

7. PROHIBITED ACTIVITIES

You may not use the Site or Services to:

Violate applicable laws or regulations.

Infringe intellectual property, privacy, or other rights.

Send unlawful spam or unauthorized marketing communications.

Upload malicious code or attempt unauthorized access to systems.

Interfere with the security or operation of the Site or Services.

Submit false, fraudulent, deceptive, or misleading information.

Create fake reviews, manipulate review systems, or violate platform rules.

Harass, threaten, impersonate, or harm another person.

Scrape, copy, or collect data from the Site through unauthorized automated means.

Reverse engineer or copy our software or systems except where applicable law permits.

Resell, redistribute, or commercially exploit our Services without authorization.

Use our Services in a way that creates unreasonable security, legal, or operational risks.

We may investigate suspected violations and take reasonable action, including removing content, restricting access, or terminating Services where appropriate.

8. USER SUBMISSIONS AND CONTRIBUTIONS

You may submit information, feedback, photographs, documents, business details, or other materials through our Site or while using our Services.

You are responsible for ensuring that you have the necessary rights and permissions to submit those materials.

You must not submit unlawful, infringing, fraudulent, defamatory, or otherwise prohibited material.

We may review or remove submitted content when reasonably necessary to operate our Services, enforce these Terms, protect users, or comply with law.

We do not claim ownership of your materials merely because you submit them.

9. LICENSE TO USE SUBMITTED MATERIALS

When you provide materials to ScaleHunter, you grant us a limited, nonexclusive right to use, reproduce, store, modify, and display those materials as reasonably necessary to provide the Services you request.

This permission may include using your business name, logo, photographs, and approved content in your website, marketing systems, and related deliverables.

We will not use your confidential materials for unrelated purposes without permission, except as permitted or required by law.

Any permission to use your business name, logo, or results in our own promotional materials must be separately authorized where required.

You remain responsible for ensuring that the materials you provide do not infringe another person's rights.

10. SOCIAL MEDIA AND THIRD-PARTY INTEGRATIONS

Our Services may connect with third-party platforms, including Google Business Profile, Google services, Meta platforms, payment providers, hosting services, communication tools, and other business systems.

You authorize us to access and use the accounts and information you make available to us to the extent reasonably necessary to provide your Services.

You are responsible for maintaining valid permissions and access to your third-party accounts.

Third-party platforms may change their features, policies, technical requirements, prices, or availability at any time. We cannot guarantee that every integration will remain available or operate without interruption.

Your use of third-party platforms remains subject to their terms, policies, and requirements.

11. THIRD-PARTY WEBSITES AND CONTENT

The Site or Services may contain links to third-party websites, applications, or resources.

We do not control or endorse every third-party website and are not responsible for its content, security, privacy practices, or independent actions.

Your use of third-party websites is at your own discretion and subject to their applicable terms and policies.

12. SERVICES MANAGEMENT

We may take reasonable steps to maintain, protect, and improve the Site and Services.

These steps may include updating features, investigating suspected misuse, restricting harmful content, protecting system security, and addressing technical issues.

We may temporarily restrict access when necessary for maintenance, security, legal compliance, or other legitimate operational reasons.

Where reasonably practicable, we will work to restore affected Services promptly.

13. PRIVACY POLICY

Our Privacy Policy explains how we collect, use, disclose, and protect personal information.

Please review the Privacy Policy at:

https://www.getscalehunter.com/privacy-policy

By using the Site, you acknowledge that you have had the opportunity to review the Privacy Policy. Where consent is legally required, acknowledgment alone does not replace that consent.

14. COPYRIGHT INFRINGEMENT

We respect intellectual property rights.

If you believe that content on the Site infringes your copyright, contact [email protected] with the subject line “Copyright Notice.”

Include enough information to identify the protected work, the material you believe infringes it, your contact information, and the basis for your claim.

If a formal notice under the Digital Millennium Copyright Act is required, it must contain the information required by that law. This email address is not a substitute for a separately designated DMCA agent where registration or designation is required.

We may remove or restrict access to disputed content when appropriate.

15. TERM AND TERMINATION

These Terms remain in effect while you use the Site or Services or maintain an active agreement with us.

You may stop using the Site at any time. Subscription and project termination are governed by Section 6 and your applicable agreement.

We may suspend or terminate Services for material breach, unlawful use, nonpayment, security risks, or other legitimate reasons, subject to applicable notice and cure requirements.

When Services end, your access to the affected features may stop. You should export or save any data you are entitled to retain before access ends.

Any provisions that by their nature should survive termination, including accrued payment obligations, intellectual property provisions, liability limitations, indemnification, and governing law, will continue to apply as permitted by law.

16. MODIFICATIONS AND INTERRUPTIONS

We may modify, update, or discontinue portions of the Site or Services.

We do not guarantee that the Site or Services will always be available, uninterrupted, or error-free.

Interruptions may result from maintenance, internet outages, third-party platform changes, telecommunications issues, security events, or other circumstances beyond our reasonable control.

Where required by an applicable agreement or law, we will provide notice or an appropriate remedy for a material change.

17. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules, except where another law must apply.

Nothing in these Terms removes mandatory consumer rights or legal protections that apply in your location.

18. DISPUTE RESOLUTION

If a dispute arises, we encourage you to contact us first so we can attempt to resolve it informally.

Contact [email protected] and describe the issue and the outcome you are seeking.

If the dispute cannot be resolved informally, it may be brought before a court with proper jurisdiction, subject to Section 17 and applicable law.

No provision in these Terms requires arbitration, waives a jury trial, or limits access to a court unless a separate agreement expressly and validly provides otherwise.

19. CORRECTIONS

The Site may contain typographical errors, outdated information, inaccurate descriptions, or pricing mistakes.

We may correct errors and update information when appropriate.

If an error materially affects a purchase already made, we will address it in accordance with your agreement and applicable law.

20. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Site and Services are provided on an “as is” and “as available” basis.

ScaleHunter disclaims warranties to the extent legally permitted, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Site will always operate without errors, that all defects will be corrected immediately, or that the Services will be compatible with every third-party system.

Nothing in this section excludes a warranty or right that cannot legally be excluded.

21. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, ScaleHunter will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or business interruption, arising from the use of the Site or Services.

To the fullest extent permitted by law, ScaleHunter's total liability arising from a particular Service will not exceed the fees paid or payable to ScaleHunter for that Service during the three months before the event giving rise to the claim.

These limits do not apply where prohibited by law or to liability that cannot legally be limited or excluded.

Any different liability terms in a separately signed agreement will apply to the extent that agreement expressly governs the relevant Service.

22. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ScaleHunter and its personnel from third-party claims, losses, liabilities, and reasonable expenses arising from:

Your material breach of these Terms.

Your unlawful use of the Services.

Your infringement of another person's rights.

Materials or customer information you provide without the necessary rights or permissions.

Your unlawful marketing or communications conducted through the Services.

This obligation does not apply to the extent a claim results from ScaleHunter's own conduct or where indemnification is prohibited by law.

23. USER AND CUSTOMER DATA

You retain your rights in the information and materials you provide, subject to the permissions needed to deliver the Services.

We may process and store information as described in our Privacy Policy and applicable service agreements.

You are responsible for ensuring that customer information you provide to ScaleHunter was collected and may be used lawfully.

We may retain records for service delivery, billing, security, dispute resolution, legal compliance, and other legitimate purposes, subject to applicable law.

24. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By communicating with us electronically, you agree that we may respond electronically regarding your inquiries, purchases, account, and Services.

Where permitted by law, electronic records, notices, and signatures may be used in connection with your transactions and agreements.

You are responsible for keeping your email address current and checking communications relating to your account.

Where the law requires a specific form of notice, consent, or signature, we will follow those requirements.

25. SMS AND TEXT MESSAGING

ScaleHunter may use text messages for customer support, appointment reminders, service updates, billing communications, and marketing where permitted by law.

Marketing Consent

Where required, we will obtain appropriate consent before sending marketing texts or using covered automated messaging systems.

Consent to receive marketing messages is not a condition of purchasing our Services where prohibited by law.

Opting Out

You may opt out of supported marketing text programs by replying STOP. You may also contact [email protected].

Message and data rates may apply. Message frequency varies based on your interactions and the type of messages you receive.

Opting out of marketing messages will not necessarily stop essential service or billing communications.

Client Use of Messaging Tools

If you purchase Services that allow you to send messages to your own customers, you are responsible for complying with applicable messaging, privacy, and marketing laws, including obtaining required consent, honoring opt-outs, and maintaining appropriate records.

You may not use ScaleHunter's tools to send unlawful or unauthorized messages.

26. CALIFORNIA USERS AND RESIDENTS

California residents may have privacy rights under the California Consumer Privacy Act, as amended, if the law applies to ScaleHunter and the information involved.

Depending on applicability, these rights may include requesting access to, correction of, or deletion of personal information and opting out of certain sales or sharing of personal information.

To submit a privacy request, email [email protected] with the subject line “California Privacy Request.”

We will verify and respond to requests as required by applicable law. We will not unlawfully discriminate against individuals for exercising applicable privacy rights.

27. MISCELLANEOUS

Entire Agreement

These Terms, together with the applicable Privacy Policy, purchase details, project agreements, and supplemental terms, form the agreement governing your use of the Site and Services.

Severability

If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective to the extent permitted by law.

No Waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

Assignment

You may not transfer your rights or obligations under these Terms without our written consent, except where applicable law provides otherwise.

We may transfer these Terms in connection with a merger, restructuring, or sale of relevant business assets, subject to applicable law.

Independent Contractors

These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between you and ScaleHunter.

Force Majeure

We are not responsible for delays caused by circumstances beyond our reasonable control, such as natural disasters, power failures, internet or telecommunications outages, government actions, or third-party platform interruptions, subject to applicable law and any relevant service agreement.

Notices

We may send notices to the email address associated with your account or another contact method permitted by law. Notices to ScaleHunter may be sent to the contact details listed in Section 38.

30. CLIENT RESPONSIBILITIES

You agree to:

Lawful Customer Data

Provide only customer information that you are legally permitted to share and use. Obtain the consents and permissions required for the intended processing and communications.

Keep your business details, website information, contact lists, and account information accurate and current.

Ensure that messages sent through your account comply with applicable email, telephone, text messaging, privacy, and advertising laws.

Third-Party Accounts

Maintain the permissions and access needed for integrations. Notify us of changes that may affect the Services.

Content and Approvals

Review materials and approve content when requested. You remain responsible for the accuracy of business claims, prices, offers, and customer-facing information you approve.

Business Operations

You remain responsible for your own products, services, employees, customer relationships, and business decisions.

We may request additional information or pause affected work if necessary to address a compliance, security, or operational issue.

31. MESSAGING CONTENT AND AUTOMATION

Certain Services may allow customer communications to be sent through automated workflows, including appointment reminders, follow-up messages, review requests, and other messages described in your agreement.

Authorization

Where you authorize ScaleHunter to configure or operate a messaging workflow, you authorize us to process the information reasonably necessary to carry out that workflow.

Message Content

You are responsible for the accuracy and legality of business information and customer-facing content you provide or approve.

If we provide standard message templates, you remain responsible for reviewing them and confirming that their use is appropriate for your business and customers.

Consent and Opt-Outs

You must ensure that the required permissions exist before messages are sent. You must promptly honor opt-outs and provide updated suppression information when needed.

You may not use messaging workflows to evade consent requirements, contact people unlawfully, or send misleading communications.

Delivery Limitations

We do not guarantee that every text message, email, or notification will be delivered, read, or acted upon. Delivery may depend on carriers, email providers, third-party systems, recipient settings, and other factors outside our control.

32. DATA USE, STORAGE, AND SECURITY

We process Client information and other personal information as described in our Privacy Policy and applicable service agreements.

We use reasonable measures designed to protect information. However, no electronic system can be guaranteed completely secure.

We may retain information for as long as reasonably necessary to provide Services, maintain records, resolve disputes, comply with law, and protect our legitimate interests.

When Services end, information may remain in backups or records for a reasonable period, subject to applicable law and our retention practices.

If a Client needs specific contractual commitments about personal data processed on its behalf, the parties may need a separate data processing agreement. These Terms alone do not automatically satisfy every legal requirement for such an agreement.

33. SERVICE LIMITATIONS AND NO GUARANTEES

No Guaranteed Results

ScaleHunter does not guarantee a specific number of leads, sales, customers, appointments, reviews, rankings, or revenue.

Business results depend on factors outside our control, including market demand, competition, pricing, customer experience, and the Client's own operations.

Reviews and Reputation

Review-related tools may help businesses request and display customer feedback. They do not guarantee positive reviews, a particular rating, or the removal of negative reviews.

Clients must follow applicable review-platform policies. They must not use our Services for fake reviews, prohibited incentives, or unlawful review manipulation.

Third-Party Availability

Services may rely on third-party systems, including search engines, social media platforms, hosting providers, email services, and telecommunications networks.

We are not responsible for independent third-party outages, policy changes, account restrictions, or service interruptions.

Service Availability

We aim to provide reliable Services but do not promise uninterrupted or error-free operation.

No Professional Advice

Our Services are not a substitute for legal, tax, accounting, financial, or other professional advice.

34. TERMINATION AND SUSPENSION

You may cancel your subscription or terminate a project as described in Section 6 and your applicable agreement.

ScaleHunter may suspend or terminate Services if you materially breach these Terms, fail to pay amounts due, use the Services unlawfully, create a security risk, or otherwise create a legitimate risk to our business or other users.

Where appropriate, we will provide notice and a reasonable opportunity to correct a breach before termination, unless immediate action is reasonably necessary or notice is not required.

After termination, access to affected Services may stop. You should save any information you are entitled to retain before access ends.

We may retain certain records for legal, billing, security, or legitimate business purposes, subject to applicable law.

Any refund following termination will be governed by your applicable agreement and law.

35. CLIENT INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold ScaleHunter harmless from third-party claims and reasonable expenses arising from your unlawful use of the Services, your breach of these Terms, your infringement of another person's rights, or your failure to obtain required permissions for information or communications you provide.

This may include claims relating to unauthorized marketing messages, unlawfully obtained contact lists, misleading business claims, or prohibited review practices.

This obligation does not apply to the extent a claim results from ScaleHunter's own conduct or where the obligation is prohibited by law.

36. ADDITIONAL LEGAL TERMS

Changes to Terms

We may update these Terms and will publish the revised version with an updated date. We will provide any additional notice or obtain any consent required by law or an applicable agreement.

Entire Agreement

These Terms and the applicable purchase documents govern the Services unless a separate written agreement expressly modifies them.

Relationship of Parties

The parties remain independent contractors. Neither party may bind the other without authorization.

Force Majeure

Neither party will be responsible for delays caused by events beyond its reasonable control to the extent permitted by law. Payment obligations for Services already provided remain in effect.

Interpretation

Headings are for convenience only. The words “including” and “includes” mean “including without limitation.”

Survival

Terms relating to payment obligations, intellectual property, confidentiality where applicable, indemnification, liability limitations, and dispute resolution will survive termination to the extent necessary and permitted by law.

37. REFERRAL PROGRAM TERMS

ScaleHunter may offer referral rewards, discounts, credits, commissions, or other promotional incentives from time to time.

Each referral program may have separate written rules describing eligibility, qualifying referrals, reward timing, and other requirements.
